01

Start with the business the company will run

Before comparing formation packages, describe the business after registration. Will it sell to UAE customers, serve overseas markets, employ a team or hold investments? Identify who buys, who signs the contracts, who delivers and who makes the decisions. Those answers give the choice of structure a commercial basis.

The owner’s move to Dubai is a connected but separate decision. Residence and work requirements need their own assessment. If the owner remains abroad, establish who will manage the company and which obligations continue in the other country. Registration alone cannot settle either arrangement.

  • What activity will the company perform for identifiable customers?
  • Where will management and delivery actually happen?
  • Is the owner moving, and which personal questions need a separate review?
02

Compare the routes to a working presence

Compare a new entity with testing demand through the existing business, working with a local partner or opening a branch. Each route changes the degree of control, local presence and ongoing commitment. The activity and relevant specialist assessments determine which options are available.

Mainland, free-zone and Jafza Offshore structures have different purposes and requirements. Ask the relevant authority or qualified local adviser which route can support the planned activity, customers, ownership and presence. This draft does not establish eligibility or recommend a particular zone.

  • Could the existing business test the opportunity before a new entity?
  • What control or local presence would a partner or branch provide?
  • Which permissions and practical conditions need confirmation for each shortlisted route?
03

Build an evidence file for the decision

Prepare a concise account of the offer, prospective buyers, transactions and responsible people. Record what supports demand: buyer discussions, proposed contracts, delivery requirements or a specific reason to operate locally. Distinguish prospects from signed clients and planned revenue from actual trading.

List the questions still awaiting confirmation: licenses, legal and tax implications, banking, premises, staffing and administration. Assign each to the appropriate party. A positive answer from a formation provider does not settle the bank’s requirements or the tax position.

  • What evidence supports demand rather than general interest in the location?
  • Can the planned invoices and payments be explained clearly?
  • Who must verify each unresolved legal, tax, licensing or banking question?
04

Put leadership in place before operations depend on it

Illustrative scenario, not a client case: the owner of an established service firm wants a Dubai company and intends to move later. Demand is still being tested, and nobody has been assigned to lead locally. Registering now would add obligations while leaving the central commercial and management questions unresolved.

The owner can first test demand, define the local operation and obtain the specialist assessments needed to compare structures. Banking preparation and administration belong in the same plan. If interim leadership is needed, agree the person, capacity, authority and handover as a separate assignment.

  • Which unresolved condition should pause a commitment?
  • Who will lead during the period before owner relocation?
  • Who owns banking preparation, records and ongoing deadlines?
05

Know what is ready for commitment

Check that the activity, demand, structure, leadership and costs fit together. Record the status of each material point: supported by evidence, awaiting confirmation or requiring reconsideration. The result may be formation, a further market test or a decision to retain the present setup.

Global Success Consulting examines the commercial decision and leads separately commissioned implementation. Qualified specialists handle legal, tax and local professional work; banks and authorities decide independently. A 60-minute first consultation costs EUR 950. Request the consultation, receive the agreed scope and invoice, then arrange your appointment once payment has been received.

  • What justifies formation now rather than after a test?
  • Which responsibilities will still exist after registration?
  • What decision do you want the first paid consultation to examine?

Choose the Dubai structure around its commercial purpose, management and operating requirements. Resolve the dependencies before they become commitments.
